Dissolution
A company can be easily dissolved by submission of a form to the Registrar of Companies
It must be accompanied by a statement signed by a director confirming that all debts have been paid. It is important to remember that tax liabilities and statutory redundancy pay due to staff are all liabilities
The Registrar of Companies will file the application and allow creditors 2 months to object to the strike off. If an objection is received the company will not be dissolved.
If the Insolvency Service identify that the company had debts when it has been struck off they can still investigate the actions of directors. It is better to take advice about the position of the company prior to making a dissolution application
